PRACTICE GROUP DESCRIPTION
The Business Finance Group has substantial experience in representing the founders and shareholders of businesses in organizing and reorganizing corporations, partnerships, and other forms of business organizations. The firm represents buyers and sellers in asset and stock purchase transactions and borrowers, issuers, underwriters, lenders, and venture capitalists in public and private offerings of securities. Business Finance attorneys provide advice in connection with mergers, acquisitions, dispositions, a variety of securities transactions, corporate matters, and commercial issues.
CORPORATE AND BUSINESS LAW
The firm represents public companies, emerging service and technology companies, and privately held corporations. The firm has extensive experience in structuring corporations, partnerships, and limited liability companies with complex capital structures and analyzing related corporate tax and estate planning issues. The firm advises businesses with respect to corporate governance, employment contracts, reorganizations, executive compensation, and employee benefits and prepares commercial, marketing, distribution, service, and operating agreements.
FINANCE
The firm represents both lenders and borrowers in financing transactions, public and private debt, and equity offerings. The firm has negotiated and documented venture capital transactions. The firm is also involved on behalf of underwriters, developers, lenders, operators, and service recipients in a wide variety of project finance transactions. The firm has growing experience in overseas transactions which includes joint ventures between U.S. companies and Indian companies, a workout by a U.S. company with a Chinese investment group, and placements by U.S. and international companies of securities in Europe pursuant to Regulations.
MERGERS AND ACQUISITIONS
The firm does a substantial amount of merger transactions and stock and asset acquisitions and dispositions for publicly held and privately held entities.
SECURITIES
The firm has experience representing issuers in public and private securities offerings, including initial public offerings, and financing involving many different types of securities, such as common stock, preferred stock, limited partnership interests, bonds, and debentures. The firm is experienced in preparing proxy materials and periodic reports under the Securities Exchange Act of 1934 and representing clients in securities law compliance. |
