John is a business lawyer working with clients to develop strategies and solutions for complex legal challenges and managing legal risk, particularly for matters involving software and database licensing and SaaS, doing business in an online environment, building value in brands and protecting trademarks, appropriate use, licensing, and protection of copyrights, and complex business transactions, including corporate and real estate lending.  John is a frequent lecturer and enjoys educating and training clients on how to solve their legal problems.

PRACTICE AREAS AND REPRESENTATIVE TRANSACTIONS

Technology; software and database licensing

  • Represented multiple clients in complex software licensing transactions, both as developers, vendors, and licensors, and users and licensees, including health care industry service providers, retail services providers, online storage providers, and digital signature providers
  • Represented multiple clients in licensing valuable databases and intellectual property included in the databases
  • Worked with National Association of REALTORS® in developing a series of license and related agreements that are used by multiple listing services and associations throughout the United States

Trademark and copyright; online business and social media

  • Represented clients in prosecuting hundreds of federal trademark applications
  • Advise clients on branding strategies, registration of trademarks, and avoiding infringement
  • Advise clients on copyright protection, use, registration, and avoiding infringement
  • Advise clients on avoiding infringement and other potential liability in an online environment

Corporate

  • Represented a regional bank in several multiple-party loan workouts involving tens of millions of dollars
  • Represented client in two multi-million dollar mergers, and in multiple joint ventures
  • Represented clients in the sales of all, or substantially all, of their assets, each for more than $10 million
  • Represented regional and national banks in equity investments in multi-family low income housing real estate project
  • Represented regional and national banks in lending to partially bond-financed multi-family low income housing real estate projects
  • Represented regional bank in commercial and real estate financing transactions
